Shell Acquires ARC Resources in $16.4B Deal, Boosting Energy Portfolio
Shell has agreed to acquire Canadian energy producer ARC Resources in a landmark $16.4 billion deal, marking one of the largest energy acquisitions of 2026. The transaction includes $13.6 billion in equity and $2.8 billion in net debt, offering ARC shareholders a 27% premium over Friday's closing price.
ARC stockholders will receive C$8.20 in cash and 0.40247 Shell ordinary shares per share, driving ARC's stock up by 20% on the announcement. Shell CEO Wael Sawan praised ARC as a high-quality, low-cost producer with top-tier carbon efficiency, positioning the acquisition as a long-term strategic play.
The deal adds approximately 370,000 barrels of oil equivalent per day to Shell's production capacity, with projected double-digit returns and enhanced free cash flow per share starting in 2027. Analysts remain divided, with Raymond James raising its price target to C$32.80 while TD Cowen downgraded ARC from Buy to Sell.
